End User License Agreement

Thank you for your interest in this software application and related services (the “App”) provided to you by Closeout Pro LLC (“Closeout Pro”) and all related websites, networks, downloadable software, and services on which a link to this End User License Agreement is displayed (collectively, our “Service”). This EULA governs your use of Closeout Pro’s services and features from your device. By downloading, installing, or accessing the App or the Service, you agree to this EULA.

By downloading, installing, or using the App or the Service, you agree that you have read, understood, and agree to be bound by the EULA. If you do not agree, you may not use the App or the Service.

1. Overview of Service

Closeout Pro provides a cloud-based project management platform specifically designed to help construction companies manage project closeout documentation. Closeout Pro enables users to streamline the creation, organization, and management of documentation, warranties, and punch lists in an efficient and standardized manner.

2. Eligibility

You must be at least eighteen (18) years of age to use the Service. By agreeing to this EULA, you represent and warrant:

  • You are at least 18 years of age.

  • You have the authority to bind any organization you represent.

  • Your use of the Service complies with all applicable laws and regulations.

3. Accounts and Registration

To access most features of the Service, you must register for an account. When registering, you must provide accurate information, and you are responsible for maintaining your account's security. If you believe your account is compromised, you must notify us at support@closeout-pro.com immediately.

4. Data Rights

You grant Closeout Pro a worldwide, royalty-free, fully-paid license to use non-personally identifiable data generated through your use of the App to improve and develop the Service. Closeout Pro will not share your personal information with third parties without consent, except as specified in our Privacy Policy.

5. License to Use the App

Subject to compliance with this EULA, Closeout Pro grants you a limited, non-exclusive, non-transferable license to use the App and access the Service for your personal use or on behalf of your organization.

6. Prohibited Conduct

When using the Service, you agree not to:

  • Use the Service for illegal activities.

  • Post content that violates third-party intellectual property rights.

  • Interfere with the operation of the Service, reverse engineer, or bypass security measures.

  • Engage in activities that cause harm or damage to the Service or other users.

7. User Content

Users may upload project documents, closeout binders, warranties, and other content through the Service. By submitting content, you grant Closeout Pro a license to store and display your content for the purpose of providing the Service. You retain ownership of all intellectual property rights in your content, and you are responsible for ensuring that your content does not violate any laws or third-party rights.

8. Termination of Service

Closeout Pro reserves the right to terminate your account or access to the Service at its discretion, particularly if you breach this EULA. You may also terminate your account at any time by contacting us at support@closeout-pro.com.

9. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time without notice. We will not be liable to you or any third party for such modifications.

10. Privacy Policy

Our Privacy Policy is incorporated into this EULA by reference. By using the Service, you consent to the collection and use of your personal information as outlined in the Privacy Policy, which can be found at www.closeoutpro.com/privacy-policy.

11. Dispute Resolution and Arbitration

Any disputes arising in connection with this EULA will be resolved through binding arbitration under the rules of the American Arbitration Association. By accepting this EULA, you waive your right to a jury trial or to participate in a class action.

12. Limitation of Liability

Closeout Pro is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. The maximum aggregate liability of Closeout Pro to you will be limited to the greater of (i) the total fees paid by you in the 12 months prior to the claim, or (ii) $100.

13. Governing Law

This EULA is governed by the laws of the State of Wyoming without regard to conflict of law principles. Disputes not resolved through arbitration will be handled in state or federal courts located in Texas.
